Citgo, the Venezuelan state oil firm's subsidiary in the US, must settle with Group 1 creditors to avoid a sale process. Citgo is worth between $32bn and $40bn and has recovered up to $5bn to pay its own debts. However, a court ruling stated that Citgo is an "alter ego" of the Venezuelan government, increasing its total claimed debt to over $23bn. The interim government of Juan Guaidó used Citgo funds to finance itself and ignored corporate procedure, leading to the "alter ego" ruling. The case is now in negotiations between Caracas and Washington DC.
Trump administration sanctions in 2017 blocked US creditors from negotiating debts with President Maduro, creating problems for investors with legal conflicts with Caracas. Venezuelan bonds are being bought up by non-western buyers through opaque structures. In 2017, corporations claimed that Citgo should pay on behalf of Caracas, but the case failed. In January 2019, as Guaidó assumed power, the US seized Venezuelan assets and transferred them to the interim government. The Delaware court ruled in favor of creditors due to the actions of the interim government. Citgo's liabilities were small enough that Venezuela could service them until the assets were transferred to Guaidó. The regime change policy hindered creditor payments, amounting to $3.4bn at the time. The US government protected Citgo from liquidation but contributed to the situation. The interim government's actions broke the rules and led to the "alter ego" ruling. There is no clear explanation for their actions, but it is known that Guaidó appointed an attorney who had previously testified in favor of Citgo's creditors.
